1. Engagement & Scope of Services
These Terms and Conditions govern the provision of digital website development, online store architecture, user interface design, SEO auditing, and cloud hosting services by Johannesburg Web Design ("the Agency") to the individual or business entity ("the Client").
Specific project milestones, deliverables, and technical parameters are set forth in the individualized project quotation and proposal provided to the Client prior to project commencement.
2. Payment Terms & The 15% Deposit Model
To provide complete confidence and eliminate risk for South African businesses, our payment terms operate on a clear milestone basis:
- 15% Initial Deposit: Required upon agreement to commence the project, configure development servers, and produce initial interactive prototypes.
- 85% Final Balance: Due strictly upon the Client inspecting, reviewing, and approving the completed website design and functional prototype.
- Full deployment to the Client's live production domain, administrative credentials hand-over, and final ownership release occur promptly following receipt of the balance payment.
3. Client Revisions & Approvals
We work collaboratively with each Client to ensure complete satisfaction with the visual identity and user experience. Each project package includes up to two (2) complete revision cycles of the initial mockup layout prior to final sign-off.
Requests for substantial modifications outside the agreed initial specification (such as completely novel functional components or architecture overhauls) will be quoted separately as an add-on scope.
4. Intellectual Property & Ownership
Upon receipt of full and final payment, 100% intellectual property ownership, copyright, design assets, and database rights of the customized website are transferred directly to the Client.
The Client retains all rights and ownership to their brand assets, logos, trademarks, and content supplied for integration into the website.
5. Third-Party Integrations & Gateways
While the Agency implements industry-leading integrations with South African payment gateways (e.g., PayFast, Yoco, Ozow, Peach Payments) and courier APIs (e.g., The Courier Guy, Fastway), the Agency does not operate or control third-party service uptime, transaction approval rates, or regulatory compliance governed by financial institutions.
6. 30-Day Post-Launch Warranty
Every website delivered by Johannesburg Web Design includes a 30-day comprehensive technical warranty from the official live launch date. During this period, any technical bugs, link errors, or code discrepancies relating to the agreed project scope are resolved promptly at zero additional charge.
7. Limitation of Liability
To the maximum extent permitted by South African law, Johannesburg Web Design shall not be held liable for indirect, incidental, or consequential loss of profits, business interruptions, or data losses resulting from third-party hosting server downtime, client password mismanagement, or unauthorized cyber incursions beyond standard security protocols.
8. Governing Law & Jurisdiction
These Terms and Conditions shall be governed by, construed, and enforced in accordance with the laws of the Republic of South Africa. The parties submit to the jurisdiction of the High Court of South Africa, Gauteng Division, Johannesburg.
